PLEASE READ THE FOLLOWING BAKER & BAKER MANAGEMENT DBA THE WORKSHOP CUSTOMER AGREEMENT (THE “AGREEMENT”) CAREFULLY BEFORE ACCESSING AND USING THE BAKER & BAKER MANAGEMENT DBA THE WORKSHOP INTERNET SERVICES. THIS AGREEMENT IS A LEGALLY BINDING AGREEMENT BETWEEN YOU (AN BAKER & BAKER MANAGEMENT DBA THE WORKSHOP OR PERSON) AND BAKER & BAKER MANAGEMENT DBA THE WORKSHOP BY PROCEEDING TO USE THE BAKER & BAKER MANAGEMENT DBA THE WORKSHOP INTERNET SERVICE, YOU AGREE TO BE BOUND TO THE TERMS AND CONDITIONS STATED BELOW. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU DO NOT HAVE TO ACCESS OR USE THE BAKER & BAKER MANAGEMENT DBA THE WORKSHOP INTERNET SERVICE. BY ESTABLISHING A INTERNET ENABLED DEVICE AND BY USING THE INTERNET SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND TO USE THE INTERNET SERVICE IN COMPLIANCE WITH THIS AGREEMENT AND BAKER & BAKER MANAGEMENT DBA THE WORKSHOP PRIVACY POLICY POSTED IN THIS AGREEMENT. THE BAKER & BAKER MANAGEMENT DBA THE WORKSHOP PRIVACY POLICY (WHICH IS LOCATED AT THE APPLICABLE URL SET FORTH UNDER THE “PRIVACY POLICY” HEADING, BELOW) IS INCORPORATED HEREIN BY THIS REFERENCE. IN THE EVENT OF ANY CONFLICT BETWEEN SUCH TERMS AND THIS AGREEMENT, THE TERMS OF THIS AGREEMENT SHALL APPLY. YOU SHOULD PRINT AND KEEP A COPY OF THIS AGREEMENT FOR YOUR FUTURE REFERENCE.

BAKER & BAKER MANAGEMENT DBA THE WORKSHOP INTERNET SERVICE AGREEMENT

The terms and conditions of this Agreement govern the relationship between you (“Tenant, Citizen, Visitor, Customer” or “you”) and BAKER & BAKER MANAGEMENT DBA THE WORKSHOP (“BAKER & BAKER MANAGEMENT DBA THE WORKSHOP”). BAKER & BAKER MANAGEMENT DBA THE WORKSHOP provides its broadband and wireless Internet access services, as they are available (“Services”), to you who establish approved connectivity to the Services as coverage is available. By establishing a connection to and using the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’s Services, you agree to be bound by this Agreement and to use the Services in compliance with this Agreement and BAKER & BAKER MANAGEMENT DBA THE WORKSHOP privacy policy.

  1. LOCATIONS. Broadband and wireless connectivity and wireless access points may not be available in all areas.
  2. MONITORING THE SERVICES. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP has no obligation to monitor the Services or your use thereof but may do so and disclose information regarding use of the Services as more fully described below in (6) around Acceptable Use Policy (AUP).
  3. WARRANTY DISCLAIMER. EXCEPT FOR CERTAIN SERVICES SPECIFICALLY IDENTIFIED AS BEING OFFERED BY BAKER & BAKER MANAGEMENT DBA THE WORKSHOP, BAKER & BAKER MANAGEMENT DBA THE WORKSHOP DOES NOT CONTROL ANY MATERIALS, INFORMATION, PRODUCTS, OR SERVICES ON THE INTERNET. THE INTERNET CONTAINS UNEDITED MATERIALS, SOME OF WHICH ARE SEXUALLY EXPLICIT OR MAY BE OFFENSIVE TO YOU. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP HAS NO CONTROL OVER AND ACCEPTS NO RESPONSIBILITY FOR SUCH MATERIALS. YOU ASSUME FULL RESPONSIBILITY AND RISK FOR USE OF THE SERVICES THE BAKER & BAKER MANAGEMENT DBA THE WORKSHOP NETWORK AND THE INTERNET AND ARE SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY, COMPLETENESS, AND USEFULNESS OF ALL SERVICES, AND OTHER INFORMATION PROVIDED THROUGH THE SERVICE OR THE INTERNET.
  4. LIMITATION OF LIABILITY. THE SERVICES, BAKER & BAKER MANAGEMENT DBA THE WORKSHOP NETWORK IS PROVIDED ON A SUBSIDIZED FEE BASIS. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP MAKES NO WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, AND CUSTOMER WAIVES ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY INFORMATION OR SERVICE PROVIDED BY OR THROUGH BAKER & BAKER MANAGEMENT DBA THE WORKSHOP DIRECTLY OR INDIRECTLY. YOU EXPRESSLY ACKNOWLEDGE THAT THERE ARE SECURITY, PRIVACY AND CONFIDENTIALITY RISKS INHERENT IN BROADBAND AND WIRELESS COMMUNICATIONS AND TECHNOLOGY AND BAKER & BAKER MANAGEMENT DBA THE WORKSHOP DOES NOT MAKE ANY ASSURANCES OR WARRANTIES RELATING TO SUCH RISKS. NO ADVICE OR INFORMATION GIVEN BY BAKER & BAKER MANAGEMENT DBA THE WORKSHOP OR ITS REPRESENTATIVES WILL CREATE A WARRANTY. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP AND ITS EMPLOYEES OR THIRD-PARTY SERVICES PARTNERS ARE NOT LIABLE FOR ANY COSTS OR DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM YOUR USE OF THE SERVICES OR THE INTERNET, INCLUDING ANY INDIRECT, INCIDENTAL, EXEMPLARY, MULTIPLE, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. IN ANY EVENT, BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S CUMULATIVE LIABILITY TO ANY TENANT, CITIZEN, VISITOR OR CUSTOMER FOR ANY AND ALL CLAIMS RELATING TO THE USE OF THE SERVICES WILL NOT EXCEED: $1.00.
  5. INDEMNIFICATION. You agree, at your expense, to defend and hold harmless BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and its affiliates, officers, directors, employees and third-party partners’ officers, directors, and employees from and against any and all costs, damages and reasonable attorneys’ fees resulting from any claim that your use of the Services injured or otherwise violated any right of any third party or violates any law.
  6. ACCEPTABLE USE POLICY. By using the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP services, you agree to the following Acceptable Use Policy (AUP): using the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP services, you agree to the following AUP: BAKER & BAKER MANAGEMENT DBA THE WORKSHOP does actively monitor the use of the Services. Similarly, BAKER & BAKER MANAGEMENT DBA THE WORKSHOP does not exercise editorial control or review over the content of any electronic mail transmission, or other material created or accessible over or through the Services. However, BAKER & BAKER MANAGEMENT DBA THE WORKSHOP may remove, block, filter, or restrict by any other means any materials that, in BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S sole discretion, may be illegal, may subject BAKER & BAKER MANAGEMENT DBA THE WORKSHOP to liability or may violate this AUP. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP may cooperate with legal authorities or third parties in the investigation of any suspected or alleged crime or civil wrong. Violation of this AUP may result in the suspension or termination of either access to the Services or other actions as detailed below. When you use the Services, the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP, third-party services partners, third-party partners are beneficiaries of this AUP. Without limiting the foregoing, except to the extent expressly set out in this Agreement or with our express written permission (in which case you must comply with any terms relating to such use that we specify), you agree not to use the Services:
    1. to transmit any information or written, graphic or photographic material (“Material”) (by uploading, posting, email or otherwise) that is unlawful, threatening, abusive, harassing, tortious, defamatory, obscene, pornographic, libelous, invasive of another’s privacy, threatening, menacing, offensive, hateful or racially, ethnically or otherwise objectionable;
    2. to harm, or attempt to harm, minors in any way;
    3. to impersonate any person or BAKER & BAKER MANAGEMENT DBA THE WORKSHOP or falsely state or otherwise misrepresent your idBAKER & BAKER MANAGEMENT DBA THE WORKSHOP or status or misrepresent your affiliation with a person or BAKER & BAKER MANAGEMENT DBA THE WORKSHOP; forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted through the Services;
    4. to transmit any Material (by uploading, posting, email or otherwise) in breach of this Agreement including any Materials that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
    5. to transmit any Material (by uploading, posting, email or otherwise) that infringes any patent, trademark, trade secret, copyright or other intellectual property, privacy, publicity or other rights of any third-party;
    6. to transmit (by uploading, posting, email or otherwise) any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
    7. to transmit any Material (by uploading, posting, email or otherwise) that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
    8. to disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges;
    9. to interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
    10. to hack into the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S or it’s third-partner services partners or third-party partners websites or any other related computer system, make excessive traffic demands, forward pyramid schemes or otherwise engage in any other behavior that may reasonably be expected to inhibit other users from using and enjoying the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S Services or damage or destroy the reputation of BAKER & BAKER MANAGEMENT DBA THE WORKSHOP or any third-party partner;
    11. to intentionally or unintentionally violate any applicable law, regulation or statute including, but not limited to, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
    12. to “stalk” or otherwise harass, threaten, or violate the rights of others; or collect, store or process, or attempt to collect, store or process, personal data about third parties without their knowledge or consent;
    13. to resell or advertise to resell the Services without BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S authorization.


 BAKER & BAKER MANAGEMENT DBA THE WORKSHOP may take any one or more of the following actions, or other actions not listed, at BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S sole discretion in response to complaints: (i) issue warnings, written or oral; (ii) suspend the Services access to you; (iii) terminate your Services access; (iv) bill you for administrative costs and/or reactivation charges, with a minimum administrative cost; or (v) bring legal action to enjoin violations and/or to collect damages, if any, caused by violations.

  1. TERM OF AGREEMENT. Continued use of the Services constitutes acceptance of this Agreement and any future versions. If you are dissatisfied with the Services or any related terms, conditions, rules, policies, guidelines, or practices, your sole and exclusive remedy is to discontinue using the Services and return to BAKER & BAKER MANAGEMENT DBA THE WORKSHOP any BAKER & BAKER MANAGEMENT DBA THE WORKSHOP owned Services equipment.
  2. INTELLECTUAL PROPERTY. All content included on BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’s website or the Services, including without limitation, text, graphics, logos, buttons, icons, images and software, is the property of BAKER & BAKER MANAGEMENT DBA THE WORKSHOP or its licensors or partners and is protected by U.S. and international copyright and trademark laws. Reproduction, reverse-engineering, duplication, modification, distribution, transmission, replication, display or performance of the content of the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S website without the express written permission of BAKER & BAKER MANAGEMENT DBA THE WORKSHOP is strictly prohibited.
  3. GOVERNING LAW. For the avoidance of doubt, unless otherwise required by law, any contract for the provision of the Services will be deemed to have been concluded in State of California, United States of America. Further, any such contract will be governed by and construed in accordance with the laws of the State of California without regard to the conflict of laws provisions thereof. Any dispute arising from or relating to the subject matter of this Agreement or any contract for provision of the Services shall be finally settled by arbitration in State of California, using the English language in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. (“JAMS”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Streamlined Arbitration Rules and Procedures of JAMS. Judgment upon the award so rendered may be entered in a court having jurisdiction, or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief at any time. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the United States Federal Courts.
  4. Severability. If any provision of this Agreement is held to be unenforceable by a court of competent jurisdiction, that provision will either be deemed modified to the minimum extent necessary to render it enforceable, or else disregarded. In either case, the remaining provisions shall continue in full force and effect.
  5. MISCELLANEOUS.This Agreement sets out all of the terms that have been agreed between BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and you in relation to the subjects covered by it. This Agreement and the Data Privacy Policy, and any additional BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S other Tenant, Citizen, Visitor or Customer policies posted on BAKER & BAKER MANAGEMENT DBA THE WORKSHOP property, BAKER & BAKER MANAGEMENT DBA THE WORKSHOP Website or BAKER & BAKER MANAGEMENT DBA THE WORKSHOP Property Website constitute the entire agreement between you and BAKER & BAKER MANAGEMENT DBA THE WORKSHOP with respect to your use of the Services. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP may revise, amend, or modify this Agreement and any other Tenant, Citizen, Visitor or Customer policies and agreements at any time and in any manner without notice.

BAKER & BAKER MANAGEMENT DBA THE WORKSHOP “BAKER & BAKER MANAGEMENT DBA THE WORKSHOP” and its subsidiaries, affiliates,” “we,” “us,” and “our”) third-party service providers and third-party partners are concerned about the privacy and security of your information. We want to make your experience with the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP Services as enjoyable and rewarding as possible, and also allow you to feel secure that your privacy interests are being respected. Geographic Location Information

When you use BAKER & BAKER MANAGEMENT DBA THE WORKSHOP’S Services on a mobile device (such as your laptop or a smart phone), BAKER & BAKER MANAGEMENT DBA THE WORKSHOP may collect and/or track certain geographic location information that is derived from your usage of the BAKER & BAKER MANAGEMENT DBA THE WORKSHOP Services such as usage patterns, travel patterns, web site page views, traffic patterns and information about your geographic location. BAKER & BAKER MANAGEMENT DBA THE WORKSHOP may use this tracking and location information for targeted advertising, statistical, analytical or business-related purposes to improve our Services and to manage our Services more efficiently.

Information Collected Automatically

To keep track of traffic on their servers, Web sites that you visit often store a small data file on your hard disk and/or device when you visit them. This file is commonly referred to as a “cookie.” A cookie file can contain user specific information, such as Device ID, or it can be used to maintain a connection with you during your visit (so that you can visit pages of a site without retyping the same information over and over). The Services use cookies and similar technologies such as pixel tags, web beacons, clear GIFs, and JavaScript (collectively, “cookies”) to track customer traffic patterns, to track your preferences, and to diagnose problems on our Services. In addition, cookie files help us assist you with questions about functionality or performance of Services. We may supplement the information we collect from you with information received from third parties, including third parties that have placed their own cookies on your device(s).

Information about Interest-Based Advertisements:

We serve advertisements through our advertising partner who will utilize the service of third-party ad networks, including third-party ad servers and ad agencies, to serve advertisements through the Services. These advertisements may be targeted to users who fit certain general profile categories or display certain preferences or behaviors (“Interest-Based Ads”). Information for Internet-Based Ads will be derived from the usage patterns of connected devices on the Services and/or services of our advertising partner. Such information may be gathered through tracking users’ activities across time and unaffiliated properties. To accomplish this, we or our advertising partner may deliver cookies, including a file (known as a “web beacon”) from their ad network to you through the Services. Web beacons allow websites to track users who have visited that page or to access certain cookies. Web beacons also allow our advertising partner’s ad network to provide anonymized, aggregated auditing, research and reporting for us and enable our advertising partner to serve targeted advertisements to you when you. 

BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and third-party advertising partners may use web beacons in the following ways:

  • BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and third-party advertising partner may use web beacons within our Services in order to track customers accessing Services at one of our WiFi access connection locations.
  • BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and third-party advertising partner may use web beacons within our Services in targeted advertising or other promotions.
  • BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and third-party advertising partner may use web beacons to measure and improve customer’s Services experience.

BAKER & BAKER MANAGEMENT DBA THE WORKSHOP and third-party advertising partner also records the MAC (Media Access Controller) address, IDFA, ADID and device identifier numbers from the network card in or used with your computer.

We comply with the Digital Advertising Alliance (“DAA”) Self-Regulatory Principles for Online Behavioral Advertising. Through the DAA and Network Advertising Initiative (“NAI”), several media and marketing associations have developed an industry self-regulatory program to give consumers a better understanding of, and greater control over, ads that are customized based a consumer’s online behaviors. 

How We Use Your Personal Data

We process Personal Data to operate, improve, understand and personalize our Services. We use Personal Data for the following purposes:

  • To meet or fulfill the reason you provided the information to us.
  • To communicate with you about the Services, including Service announcements, updates or offers.
  • To provide support and assistance for the Services.
  • To personalize communications based on your preferences, including targeted offers and ads served through the Services.
  • If necessary, to process orders or other transactions.
  • To improve and develop the Services, including testing, research, analysis and product development.
  • To protect against or deter fraudulent, illegal or harmful actions and maintain the safety, security and integrity of our Services.
  • To comply with our legal or contractual obligations, resolve disputes, and enforce our Terms of Use.
  • To respond to law enforcement requests, for national security reasons and as may be required by applicable law, court order, or other governmental regulations.
  • For any other business purpose stated when collecting your Personal Data or as otherwise set forth in applicable data privacy laws, such as the California Consumer Privacy Act (the “CCPA”).

We will not collect additional categories of Personal Data or use the Personal Data we collected for materially different, unrelated, or incompatible purposes.

Our Commercial or Business Purposes for Collecting Personal Data

We disclose your collected Data to advertising partners, business partners and other parties for the following business purposes:

  • Auditing related to a current interaction and concurrent transactions, including, but not limited to, counting ad impressions to unique visitors, verifying positioning and quality of ad impressions, and auditing compliance with this specification and other standards.
  • Detecting security incidents, protecting against malicious, deceptive, fraudulent, or illegal activity, and prosecuting those responsible for that activity.
  • Debugging to identify and repair errors that impair existing intended functionality.
  • Undertaking internal research for technological development and demonstration.
  • To respond to law enforcement requests, for national security reasons and as may be required by applicable law, court order, or other governmental regulations.
  • Undertaking activities to verify or maintain the quality or safety of a service or device that we own, manufacture, was manufactured for us, or control.

Subject to the terms of this Privacy Policy, we may disclose information to our employees, contractors, affiliates, distributors, dealers, vendors, partners and suppliers who process information on our behalf, participate with us in the provision or operation of our Services to provide you with the Services.

We allow our third-party advertising partner (“Advertiser”) to choose the demographic information of users who will see their advertisements and/or promotional offers and you agree that we may provide any of the information we have collected from you in non-personally identifiable form to an Advertiser, in order for that Advertiser to select the appropriate audience for those advertisements and/or offers. For example, we might use the fact you are located in San Francisco to show you ads or offers for San Francisco businesses, but we will not tell such businesses who you are.

Non-BAKER & BAKER MANAGEMENT DBA THE WORKSHOP third-party advertising partners may serve ads that appear on Services, which may contain a feature allowing you to input your email address. If you choose to input your email address in connection with these ads, you understand that we will transmit your email address to the applicable third-party advertiser; this Privacy Policy does not apply to such advertisers’ collection and use practices, so please review their privacy policies before providing your email address in this manner.

How We Share Your Personal Data

We disclose your collected data to the categories of business partners, advertising partners and other parties listed in this section.
